EXPLANATORY NOTE
This Registration Statement on Form S-8 (the “Registration Statement”) is being filed for the purpose of registering an additional 1,960,168 shares of common stock of MacroGenics, Inc. (the “Company”) issuable pursuant to the Company’s 2013 Equity Incentive Plan.
